Terms of Service
1. About this Agreement
These Terms of Service (the "Agreement") govern access to and use of the website at https://beehox.com, the customer dashboard at https://dash.beehox.com, the residential-proxy infrastructure and any related software, APIs, tools and documentation provided by Carbonmall Coal Sales Special Limited (the "Services").
Carbonmall Coal Sales Special Limited is a company incorporated in Hong Kong under registration number 3348577, with its registered office at Rm 06, 13A/F., South Tower, World Finance Centre, 17 Canton Road, Harbour City, Tsim Sha Tsui, Kowloon, Hong Kong SAR ("Beehox", "we", "us", "our").
By creating an account, by clicking any checkbox or button indicating acceptance, or by routing traffic through the Services in any other way, you accept this Agreement in full. If you are acting on behalf of a legal entity you confirm that you have authority to bind that entity, in which case "you" refers to both you personally and that entity.
This Agreement should be read together with our Privacy Policy and Cookie Policy, both of which are incorporated by reference. Where there is a conflict between this Agreement and any other document we publish, this Agreement prevails unless we expressly state otherwise.
If you do not agree with any part of this Agreement, do not create an account and do not use the Services.
2. Definitions
Capitalised terms not defined inline have the meanings set out here.
Account — the personal account opened in the dashboard under your email address.
Acceptable Use Policy or AUP — the rules set out in section 6 of this Agreement, which govern lawful and proper use of the Services.
Applicable Law — every statute, regulation, decree, court order or binding administrative rule applicable to a party in connection with this Agreement.
Bandwidth — the volume of network traffic measured by us at the egress of our gateway and consumed by your Account through the residential-proxy network.
Customer Content — any data, instructions, configurations, code, requests, responses and other materials that you submit to or generate through the Services.
Dashboard — the web interface available at the address above, through which you manage your Account, generate proxy credentials, monitor usage and pay for the Services.
Documentation — public help-centre and developer documentation that describes how to use the Services.
Endpoint — a network address (hostname plus port) at which our residential-proxy gateway accepts client connections.
Wallet — the prepaid balance kept on your Account and used to pay for Bandwidth and Services.
3. Eligibility and account registration
The Services are intended exclusively for legitimate professional and business use by persons of full legal age in their place of residence. You may not create or use an Account if you are under the age of eighteen, are not legally able to enter into a binding agreement, or are accessing the Services from a Restricted Jurisdiction as defined in section 7.
To create an Account you must provide an active email address, choose a strong unique password and supply any additional information we request during sign-up. You must keep the information on your Account accurate, current and complete, and update it promptly when it changes.
Each Account is personal to the registered holder. You must not share Account credentials with any third party or unauthorised person, and you must not transfer, sell, gift, lease or grant any other person access to your Account without our prior written consent. You are solely responsible for any activity carried out on or through your Account, whether or not authorised by you.
We strongly recommend that you enable two-factor authentication, use a password manager and review the active sessions in the dashboard periodically. We may at any time require you to re-verify your identity, refresh your contact details or update your billing data.
We may at any time and at our sole discretion modify, add to or reduce the set of information required to create an Account, including by introducing identity-verification or company-verification flows for some or all customers. Where such a change applies to existing Accounts, we will give you reasonable notice and a reasonable opportunity to comply.
4. Description of the Services
The Services consist primarily of access to a residential-proxy infrastructure exposing HTTP and SOCKS5 endpoints, geographic and ISP-level targeting, session-stickiness controls, usage analytics, and an API and dashboard for configuring and monitoring the foregoing. We may add, modify, remove or temporarily disable individual features at our sole discretion, and may release beta or experimental functionality marked as such.
The Services are provided under a prepaid traffic-credit model. You purchase traffic packages (pay-as-you-go) or top up your Wallet, generate proxy credentials and consume Bandwidth measured at our gateway. We may also offer fixed-IP add-ons, enterprise contracts and evaluation tiers; any specific terms applicable to those models are presented at the time of purchase and incorporated into this Agreement by reference.
We make no guarantee that the Services will be uninterrupted, error-free or available from every location. The Services may be temporarily unavailable due to maintenance, network-routing events, force-majeure events, sanctioned-jurisdiction restrictions or security incidents. Targeting parameters (country, city, ISP, ASN) are best-effort: actual gateway selection depends on real-time availability and the residential-IP pool.
The Services are designed for technical users. We assume that you understand how proxies work, the legal and contractual implications of routing traffic through them, and the obligation to comply with the rules of any third-party website or service you choose to access.
5. Licence to access and use the Services
Subject to your compliance with this Agreement and continued payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, limited licence to access and use the Services and Documentation solely for your own lawful business purposes during the term of this Agreement.
We retain all right, title and interest in and to the Services, the Documentation, the underlying software and infrastructure, the brand Beehox, all logos, trademarks, trade names, designs and other intellectual property associated with them. Nothing in this Agreement transfers ownership of any of the foregoing to you. Feedback you provide may be used by us without restriction or obligation.
You must not, except to the extent expressly permitted by Applicable Law that cannot be excluded by contract: (a) copy, modify, translate or create derivative works of the Services or Documentation; (b) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas, algorithms or trade secrets of the Services; (c) resell, sublicense, lease, time-share, rent or otherwise commercially redistribute the Services or any part of them, except under a written reseller agreement with us; (d) remove or alter any proprietary notice on the Services or Documentation; (e) use the Services in a manner that competes with us by creating a substantially similar service offering; or (f) use the Services to develop machine-learning or artificial-intelligence models that compete with the Services.
Beta features. Functionality identified as beta, preview, experimental or alpha is provided without warranty of any kind and may be modified or discontinued at any time. Beta features are excluded from any service-level commitment.
6. Acceptable Use Policy
This section sets out the Acceptable Use Policy. Breach of any part of it is a material breach of this Agreement and may result in immediate suspension or termination of your Account without refund, as well as in our reporting the relevant activity to competent authorities.
General principle
You agree to use the Services only for lawful purposes and in a manner consistent with this Agreement, Applicable Law, generally accepted standards of good faith and the legitimate rights of third parties. You are solely responsible for ensuring that your use of the Services is legal in your jurisdiction, in the jurisdiction of any target website you reach through the Services, and in any other jurisdiction reasonably connected to your activity.
Prohibited content and activities
You must not use the Services to access, store, transmit, distribute, link to or solicit:
- child sexual abuse material or any content sexualising minors, in any form, under any pretext, with zero tolerance;
- content that promotes terrorism, terrorist financing, violent extremism, weapons of mass destruction or genocide;
- material that infringes the intellectual-property rights of any third party, including pirated software, films, music, books, courses or paid databases;
- malicious code, ransomware, exploit kits, command-and-control traffic, credential-stuffing infrastructure, bulletproof-hosting services, phishing kits or any other infrastructure designed to compromise third-party systems;
- content that defames, harasses, threatens, doxes, stalks or impersonates any person;
- instructions to produce illegal drugs, untraceable firearms, explosives or other items the distribution of which is prohibited under Applicable Law.
Restricted targets
Without our prior written consent, you must not direct traffic through the Services to:
- personal banking, payment-card, money-transfer or other retail-financial-institution portals;
- government, military, intelligence, police or judicial portals;
- public utilities and critical-infrastructure systems (electricity grid, water, transport, healthcare);
- child-protection or anti-CSAM reporting services;
- ticketing systems where automated purchasing is prohibited by the operator;
- streaming services, application stores or other platforms where automated access is prohibited by the relevant terms of service.
We may technically block traffic to specific target domains at any time, and we may add or remove such blocks at our sole discretion.
Sanctions and export controls
You must not use the Services in or for the benefit of any country, region or person subject to comprehensive sanctions imposed by the United Nations, the European Union, the United Kingdom, the United States, Hong Kong or any other competent authority (currently including Cuba, Iran, North Korea, Syria and the Crimea, so-called Donetsk People’s Republic and Luhansk People’s Republic regions of Ukraine — the Restricted Jurisdictions). You must not allow any person on a denied-party, sanctions, debarment or unverified-party list to access the Services through your Account. You warrant that neither you nor any beneficial owner of your business is on any such list. If you become subject to sanctions during the term, you must immediately stop using the Services and notify us in writing.
Anti-fraud, anti-money-laundering
You must not use the Services to commit, facilitate or attempt to commit fraud, money laundering, terrorist financing, tax evasion, market manipulation or any other financial crime. You must not use stolen, cloned or otherwise unlawfully obtained payment instruments to pay for the Services.
Privacy and data protection
You must not use the Services to collect, process or transmit personal data unless you have a valid lawful basis under Applicable Law. You are solely responsible for ensuring that your scraping, automation, market-intelligence and any other activities comply with the GDPR, the UK GDPR, the CCPA / CPRA, the Hong Kong PDPO and all other applicable privacy laws, including notice and consent obligations, data-subject rights, retention rules and cross-border-transfer safeguards.
Third-party platform terms
When accessing third-party websites through the Services, you must comply with their terms of service, robots.txt directives, API rate limits and any other technical or contractual restrictions, except where compliance is excused by Applicable Law (for example, lawful research or interoperability exceptions). The fact that a website is technically reachable through the Services does not constitute permission to access it.
Abuse of our infrastructure
You must not:
- submit excessive or disruptive request volumes that may degrade Service quality for other customers;
- attempt to discover, exploit or report vulnerabilities in the Services outside of a coordinated-disclosure programme we expressly publish;
- attempt to access another customer’s Account or data;
- circumvent rate limits, traffic caps, billing meters, IP-reputation filters or other technical controls;
- probe, scan or test the vulnerability of the Services without our written consent;
- interfere with the normal operation of the Services in any other way.
AI / model training
Use of the Services to systematically collect content for the training of machine-learning or generative-AI models is permitted only if you have all necessary rights, licences and lawful bases for such use, and you agree to indemnify us against any third-party claim arising from that use.
The list above is not exhaustive. We may publish supplementary guidance, restricted-target lists or AUP clarifications from time to time, and you agree to comply with them once published.
7. Restricted Jurisdictions and territorial restrictions
We do not make the Services available to persons resident in, located in, or accessing the Services from a Restricted Jurisdiction. We may technically block access from any such jurisdiction and may add or remove jurisdictions to the list of Restricted Jurisdictions at our sole discretion in response to changes in international sanctions or to other risk considerations.
Any attempt to circumvent a geographical restriction — including by routing your own traffic through proxies or VPNs we did not provide — constitutes a material breach of this Agreement.
If we become aware that your access location has changed in a way that places you in a Restricted Jurisdiction, we may suspend or terminate your Account without prior notice and without refund.
8. Identity verification and Know-Your-Customer
For some Services, tiers or transactions — and in any case where required by Applicable Law or by our payment, banking or hosting counterparties — we may ask you to complete a Know-Your-Customer (KYC) verification. This may include providing a government-issued identity document, proof of address, evidence of corporate registration and beneficial ownership for legal entities, and a live photograph for biometric comparison.
We may rely on third-party verification providers acting as our sub-processors. Identity-verification data is processed in accordance with our Privacy Policy.
If you do not complete a requested verification, we may suspend access to Services or features that depend on verification, and we may close your Account if the verification is required by Applicable Law and you refuse to provide it.
An identity document or company registration may be used to verify only one Account. Attempting to use the same document to verify multiple Accounts is a material breach.
9. Payments, billing and Wallet
Prices for the Services are published in the dashboard and on the website at the time of purchase. Unless expressly stated otherwise, prices are exclusive of any taxes, duties, withholdings or bank charges, which are your sole responsibility.
Payments are processed through third-party payment providers acting on our behalf, separately for card payments and cryptocurrency settlements. The use of those providers is subject to their own terms; we are not responsible for their processing fees, fluctuations in cryptocurrency conversion rates or refunds they handle directly.
Your Wallet stores a prepaid balance in the currency displayed in the dashboard. Bandwidth and other usage-based charges are deducted from the Wallet as you consume the Services. You may top up the Wallet at any time. Wallet balances do not accrue interest.
We may at any time and at our sole discretion modify our prices, the structure of plans or the cost of any specific feature. For one-time traffic purchases, the price applicable at the moment of purchase applies.
Late payment, chargeback or wallet under-funding may result in immediate suspension of access to paid features. If you initiate a chargeback or payment dispute without first attempting to resolve the matter with our support team, we may treat this as a material breach of this Agreement and may permanently suspend your Account.
10. Refunds
Payments are generally non-refundable, since Services are consumed in real time and operational resources are allocated as soon as your traffic is routed. Refunds are considered case-by-case on the principles set out below and at our reasonable discretion.
When we typically refund. If we materially fail to deliver a Service you have paid for and are unable to remedy the failure within a reasonable period after you bring it to our attention, we will normally refund the affected portion of the payment. Common examples include an accidental double-charge, a billing error on our side, an extended outage of the gateway attributable to us (and not to your configuration, the behaviour of a target website, sanctioned content or external network issues), or a feature you paid for that we cannot enable for reasons outside of your control.
How to request a refund. Contact our support team by email as soon as you notice the issue. Provide your Account email, the order or transaction identifier, a description of the problem and any evidence you can share (timestamps, logs, screenshots). We will investigate and respond within a reasonable time; if we agree that a refund is due, we will process it to the original payment method where technically possible, or to your Wallet balance otherwise.
Cryptocurrency. Refunds of payments made in cryptocurrency may be issued in stablecoin or in the currency of the original payment depending on what our payment provider supports at the time of the refund; conversion-rate fluctuations between the original payment and the refund moment are not compensated.
Statutory rights. Nothing in this section limits any non-waivable statutory refund rights that may apply to you as a consumer under mandatory provisions of your local law. Where any such right applies, you must follow the procedure set out in that law and we will comply with its requirements.
Wallet balances. If you close your Account voluntarily, any unused Wallet balance may be refunded to the original payment method on your written request, subject to deduction of taxes, payment-provider fees and any compliance costs we incur on the refund. If we close your Account for cause as described in section 14, any remaining Wallet balance is forfeited.
11. Customer Content and responsibility for collected data
You retain all right, title and interest in and to the Customer Content. You grant us a limited, non-exclusive, royalty-free, worldwide licence to host, transmit, copy and process the Customer Content solely to the extent necessary to provide the Services and to comply with Applicable Law (for example, to retain records required for tax or fraud investigations).
You are solely responsible for the lawfulness of the Customer Content and for ensuring that you have all necessary rights, licences, consents and lawful bases for any data you route through the Services. We do not pre-screen Customer Content and have no obligation to do so; we may, however, remove or refuse to transmit Customer Content if it appears to breach this Agreement or Applicable Law.
Content you obtain through the Services (for example, by scraping a third-party website) may be subject to copyright, database rights, privacy laws, contractual terms or other restrictions. We do not grant you any rights in or over such content and you must obtain any necessary permissions or lawful bases for your intended use directly from the rights holder or under the relevant statutory regime.
AI / machine-learning training. If you use the Services to collect content for the training, fine-tuning or evaluation of machine-learning models, you confirm that you have all necessary rights to do so and you agree to defend, indemnify and hold us harmless against any third-party claim relating to that training use.
12. Service availability and disclaimers
The Services are provided "as is" and "as available", without warranty of any kind, express or implied, to the maximum extent permitted by Applicable Law. We expressly disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted operation.
We do not warrant that the Services will meet your requirements, that operations will be timely, secure or error-free, that defects will be corrected within a specific time, or that any specific target website will be reachable through the Services with any particular success rate.
Where we publish public-facing reliability or performance figures on our marketing pages (for example, an uptime percentage or an average response time), those figures are aspirational and do not form part of this Agreement unless a formal service-level agreement is signed between us in writing.
External factors. The Services rely on the residential-IP pool, on internet routing and on the behaviour of third-party target websites. Changes to those external factors (such as anti-bot measures, IP-reputation downgrades or platform-policy updates) may affect the performance of the Services without giving rise to any liability on our part.
13. Fair usage
We apply a fair-usage policy to protect Service quality for all customers. Requests at volumes or frequencies that materially exceed normal patterns for the type of plan you have purchased, or that materially degrade Service quality for other customers, may result in temporary speed reduction, throttling or, in serious cases, suspension of your Account.
If we anticipate that your usage will exceed plan limits, we will normally contact you in advance to offer an upgraded plan or a tailored solution. Where the excess use is sudden or extreme, we may apply protective controls without prior notice.
Any usage indicator displayed in the dashboard is for guidance only; the authoritative measurement of Bandwidth and other usage is the one recorded by our gateway.
14. Suspension and termination
We may at our sole discretion suspend access to all or part of the Services or terminate this Agreement, immediately and without prior notice, if: (a) you breach any term of this Agreement, the AUP, our Privacy Policy or our Cookie Policy; (b) we suspect on reasonable grounds that you have engaged in fraud, money laundering, sanctions evasion or any other illegal activity; (c) your payment fails, is reversed or your Wallet remains under-funded; (d) we are required to do so by Applicable Law, by a court order or by a regulator; (e) your activity creates a security, reputational, legal or financial risk for us, our customers, our infrastructure providers, our payment counterparties or any third party; or (f) your Account has remained inactive (no log-in or paid usage) for twenty-four consecutive months.
When practical, we will provide written notice of suspension by email, including the reason and, where appropriate, an opportunity to remedy the breach within a stated period. Where we determine that immediate suspension is required to protect us, our customers or third parties, we may suspend first and notify afterwards.
On termination by us for cause, you forfeit any unused Wallet balance and any earned but unpaid referral or partner rewards. On termination by you without cause, any unused Wallet balance is forfeited unless we agree in writing to a refund.
You may terminate this Agreement at any time by closing your Account from the dashboard. Closure is subject to settlement of any outstanding fees and to the retention obligations described in our Privacy Policy.
Sections of this Agreement that by their nature should survive termination (in particular sections 5, 6, 11, 12, 14, 15, 16, 17, 18 and 19) survive termination and remain in force for as long as is necessary to give effect to their purpose.
15. Indemnification
You agree to defend, indemnify and hold harmless Beehox, its affiliates and each of their respective directors, officers, employees, contractors and agents from and against any and all third-party claims, demands, investigations, proceedings, fines, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of any representation, warranty or obligation under this Agreement; (b) your violation of Applicable Law in connection with the Services; (c) your wilful misconduct or gross negligence; (d) your misuse of the Services; (e) any claim that the Customer Content or your use of content obtained through the Services infringes the intellectual property, privacy, publicity or other rights of any third party; (f) any breach by you of a target website's terms of service, robots.txt or other access policy; and (g) any tax assessed on you that we are required to collect or remit on your behalf.
We will give you prompt notice of any claim subject to indemnification, allow you to control the defence and settlement of the claim (provided that any settlement that imposes any non-monetary obligation on us requires our prior written consent, not to be unreasonably withheld), and provide reasonable cooperation at your expense.
16. Limitation of liability
To the maximum extent permitted by Applicable Law, neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data or loss of anticipated savings, even if advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
To the maximum extent permitted by Applicable Law, our aggregate liability to you for any and all claims arising out of or related to this Agreement and the Services, whether in contract, tort (including negligence), strict liability or otherwise, will not exceed the total amount you actually paid to us for the Services in the twelve months immediately preceding the event giving rise to the claim.
Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under Applicable Law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability the limitation or exclusion of which would be unlawful.
The limitations and exclusions in this section reflect the allocation of risk between the parties and form an essential basis of the bargain between us; you acknowledge that they would apply even if the agreed remedies fail their essential purpose.
17. Confidentiality
Each party may disclose to the other, in connection with this Agreement, information that is non-public, proprietary or confidential. Confidential Information includes the existence and terms of any custom pricing, the technical architecture of the Services, security measures, business plans, customer lists and any information marked as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
Each party will use Confidential Information of the other party only for the purposes of this Agreement, will protect it with at least the same degree of care it applies to its own confidential information of like importance (and in no event with less than reasonable care), and will not disclose it to any third party except to its employees, contractors and advisers who need to know it and who are bound by confidentiality obligations at least as protective as those in this section.
Confidential Information does not include information that (a) is or becomes publicly available without breach of this Agreement, (b) was already known to the receiving party without confidentiality restriction, (c) is independently developed without reference to the other party's information or (d) is rightfully received from a third party without confidentiality restriction.
A party may disclose Confidential Information to the extent required by Applicable Law, a court order or a regulator, provided that, where legally permitted, it gives the other party reasonable prior notice and the opportunity to seek a protective order.
18. Governing law and dispute resolution
This Agreement is governed by the laws of Hong Kong SAR, without regard to its conflict-of-laws principles. Where mandatory consumer-protection provisions of your local law grant you additional rights, those rights apply notwithstanding this choice of law.
Informal resolution. Before commencing any formal proceeding, the parties will attempt to resolve any dispute amicably by good-faith negotiation. To initiate such negotiation, send a written notice describing the dispute and the proposed resolution to the contact details in this Agreement; the other party will respond in writing within thirty days.
Exclusive jurisdiction. Subject to the informal-resolution requirement above, the parties submit to the exclusive jurisdiction of the competent courts of Hong Kong SAR for any dispute arising out of or related to this Agreement, except that either party may seek interim injunctive or equitable relief in any court of competent jurisdiction.
Class-action waiver. To the maximum extent permitted by Applicable Law, you agree that disputes will be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, representative or consolidated action.
Statute of limitations. Any cause of action arising out of or related to this Agreement or the Services must be commenced within one year after the cause of action accrues; otherwise it is permanently barred, except where Applicable Law requires a longer period that cannot be contractually reduced.
19. Modifications to the Agreement
We may modify this Agreement from time to time. The updated version is published with a new 'Effective' date at the top of this page. Where a modification is material and affects your rights or our material obligations, we will additionally notify active customers by email or by a prominent banner in the dashboard at least thirty days before the modification takes effect, except where a shorter notice period is required by Applicable Law.
Continued use of the Services after a modification becomes effective constitutes acceptance of the modified Agreement. If you do not accept a modification, you must stop using the Services and may close your Account; refunds for unused Wallet balances follow the rules in section 10.
We will keep prior versions of this Agreement on file. A copy of an earlier version applicable on a specific past date can be requested by email.
20. Miscellaneous
Entire agreement. This Agreement, together with the Privacy Policy, the Cookie Policy and any order forms or written addenda entered into between us, constitutes the entire agreement between you and Beehox concerning the Services and supersedes all prior or contemporaneous communications and proposals on the same subject matter.
Severability. If any provision of this Agreement is held unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' intent.
No waiver. A failure or delay by either party to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision. Any waiver must be in writing.
Assignment. You may not assign or transfer this Agreement, in whole or in part, by operation of law or otherwise, without our prior written consent; any purported assignment without consent is void. We may assign or transfer this Agreement freely to a successor in connection with a merger, acquisition or sale of substantially all of our assets, or to any of our affiliates, upon written notice to you.
No agency. Nothing in this Agreement creates a partnership, joint venture, agency, franchise or employment relationship between the parties; neither party has authority to bind the other.
Force majeure. Neither party will be liable for any failure or delay in performance caused by acts of God, war, terrorism, riots, embargoes, government action, sanctions, pandemics, internet or hosting-provider failures, denial-of-service attacks, sabotage or any other cause beyond its reasonable control. The affected party must notify the other and resume performance as soon as reasonably possible.
Notices. Notices to you may be given by email to the address on your Account or by a notification posted in the dashboard. Notices to us must be sent to the email address and registered office set out in the Contact section below and are deemed received on the next business day in Hong Kong.
Language. This Agreement is concluded in English. Translations into other languages, including Russian, are provided for convenience; in case of conflict between the English version and any translation, the English version prevails.
